Original Terms of Service

Terms of gu.cards

gu.cards is a web application (the APP), that allows searching, browsing, filtering, interacting, buying, selling and sharing of existing cards for the game Gods Unchained (the GAME). It uses the Gods Unchained Website and the Gods Unchained API (the API) to provide those information and functionalities. Before you use the APP, you will need to agree to these terms of use and any terms and conditions incorporated herein by reference (collectively, these “Terms").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE APP. THESE TERMS GOVERN YOUR USE OF THE APP, UNLESS WE HAVE EXECUTED A SEPARATE WRITTEN AGREEMENT WITH YOU FOR THAT PURPOSE. WE ARE ONLY WILLING TO MAKE THE APP, AVAILABLE TO YOU IF YOU ACCEPT ALL OF THESE TERMS. BY USING THE APP OR ANY PART OF IT, YOU ARE CONFIRMING THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO ACCEPT THESE TERMS ON THAT ENTITY’S BEHALF, IN WHICH CASE “YOU” WILL MEAN THAT ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT ACCEPT ALL OF THESE TERMS, THEN WE ARE UNWILLING TO MAKE THE APP AVAILABLE TO YOU. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE APP.

Trading Cards

"Cards" refers to unique non-fungible tokens, implemented on the Ethereum blockchain using smart contracts.

gu.cards allows you sell and purchase Gods Unchained cards. You may only participate in trading on gu.cards by linking your digital wallets on supported bridge extensions such as MetaMask (https://metamask.io). MetaMask is an electronic wallet, which allows you to purchase, store, and engage in transactions using the Ethereum blockchain. Before putting up your cards for trading or putting in an offer to purchase a card from another user, we will ask you to download a supported electronic wallet extension, and connect and unlock your digital wallets with that extension. Once you submit an order to sell or purchase a card, your order is passed on to the applicable extension, which completes the transaction on your behalf.

ALL TRANSACTIONS INITIATED THROUGH OUR SERVICE ARE FACILITATED AND RUN BY SUCH THIRD-PARTY ELECTRONIC WALLET EXTENSIONS, AND BY USING OUR SERVICES YOU AGREE THAT YOU ARE GOVERNED BY THE TERMS OF SERVICE AND PRIVACY POLICY FOR THE APPLICABLE EXTENSIONS. GU.CARDS IS A PLATFORM. WE ARE NOT A BROKER, FINANCIAL INSTITUTION, OR CREDITOR. THE SERVICES ARE AN ADMINISTRATIVE PLATFORM ONLY. GU.CARDS FACILITATES TRANSACTIONS BETWEEN THE BUYER AND SELLER BUT IS NOT A PARTY TO ANY AGREEMENT BETWEEN THE BUYER AND SELLER OF CRYPTO ASSETS OR BETWEEN ANY USERS.

gu.cards is decentralized. This means we will not escrow your cards when you list them for sale. The gu.cards website/dapp allows you to interact with our dedicated, secure and reviewed smart contract for trading/exchanging cards for Gods Unchained.

On gu.cards sell and buy orders are mainly for the Gods Unchained card specific token specifications: proto and quality. You are NOT listing cards by concrete token ids. This functionality, to list concrete instances of a token/card is reserved for future tokens/cards with additional meta data that distinguishes it from other cards of the same kind.

Selling Cards

In order to start selling cards on gu.cards you need to grant the smart contract the allowance to trade your Gods Unchained cards under the rules that are programmed into that smart contract. Those rules will – in the following – be described in more detail.

If you list a card for sale using the gu.cards smart contract, you give the smart contract the allowance to exchange one of your cards matching the listed criteria for the listed price. The concrete token is determined in the moment a buyer agrees to purchase the card of the given criteria for the listed price.

Example: If you list one Merlin with the quality "Meteorite" for a price of 0.1 ETH. This translates to a sell order of "1x proto 366, quality 4 for 0.1 ETH", whereas "proto 366" is the internal identification of this card and "quality 4" identifies the quality as "Meteorite". If a buyer now purchases that card, a concrete token id is picked only during the moment of the purchase and it can be any token id in your possession that fulfills the mentioned criteria of "proto 366 and quality 4".

If you list cards for sale on gu.cards, the ETH listed for that particular card will be transferred to your wallet in the moment a buyer purchased that card. This happens in a transactional way on the Ethereum blockchain to ensure either both happens or nothing.

On the ethereum blockchain it can easily happen that two parties want to sell the same card into an existing buy order at the same time. Usually the party paying higher gas fee is getting mined first and makes the transaction, while the other party's transaction fails. In this scenario instead of failing the transaction and your gas being wasted, our smart contract is actually creating the intended sell order just without settling it, so that it can be settled at a later point in time.

Buying Cards

The gu.cards smart contract enables you to buy cards from other people. If you purchase a card you always buy a version of that card fulfilling the purchased criteria for "proto" and "quality".

On gu.cards you are not buying cards by concrete instances (token ids). The concrete instance (token id) of the card is determined in the moment of the purchase, but it is always fulfilling the purchased criteria of "proto" and "quality". This functionality, to purchase concrete instances of a token/card is reserved for future tokens/cards with additional meta data that distinguishes it from other cards of the same kind.

Example: If you buy a Merlin in the quality "Meteorite" for a price of 0.1 ETH. gu.cards provides/determines a concrete token id that fulfills that criteria in the moment of the purchase. The smart contract will exchange your 0.1 ETH for a card fulfilling the criteria "proto 366, quality 4", whereas "proto 366" is the internal identification of the Merlin card and "quality 4" identifies the quality as "Meteorite".

Instead of buying cards immediately you can also list buy orders (offers). Those buy orders are binding. Upon buy order creation, you transfer the ETH you would pay for a specific card to the smart contract. The smart contract only releases those funds in two ways. It either releases the funds and transfers them to the seller when a card matching your criteria was transferred to you, or when you cancel the buy order. In this case the funds (including fee) will be transferred back to your wallet.

On the ethereum blockchain it can easily happen that two parties want to buy the same listing at the very same time. Card Trading Fees and Future Arbitrage

When exchanging cards using the gu.cards smart contract, the buyer pays 2.5% on top of the listed price as exchange fee. We plan to significantly decrease that fee in the future by switching over to an arbitrage economic model were we only generate profits out of the difference between what a seller is willing to exchange a card for and what a buyer is willing to pay, ideally for 0% exchange fee, as we believe that would be the optimal model for all parties involved: Seller sells for a price X he/she is fine with, Buyer purchases for a price Y he/she is willing to pay, nobody pays fee and our service/platform is compensated through the difference of the price. This economic model is already enabled by our existing smart contract for trading/exchanging Gods Unchained cards.

The cards & artwork

All the cards and functionalities that you find in the APP are provided by using the Gods Unchained website, smart contracts and APIs. All the card information (like text, name, effects) and the card artworks are provided via the Gods Unchained website, apis and the game client and none of those information is published by gu.cards.

Responsibility for third party contents

gu.cards takes no responsibility for the data, information or contents created by the users or shown on any linked third party website and hereby excludes all liability. gu.cards does not warrant that this content is true, will fulfill a particular purpose, or can serve such a purpose.

Limitation of liability

Entitlement to damage compensation - regardless of the legal grounds - against gu.cards (or any legal representatives and agents) shall be excluded if they have caused as a result of simple neglect and they shall only apply, if an essential contractual obligation/cardinal obligation has been violated. An important contractual obligation exists if the breach of duty applies to an obligation upon whose fulfilment you had relied and should be able to rely. Claims for damages shall be limited to the amount of typical foreseeable damages. The user indemnifies gu.cards against all claims, including claims for compensation for damages, that other users or other third parties make against gu.cards due to the violation of their rights as a result publishing content on the gu.cards websites. Furthermore, the user indemnifies gu.cards from any claims, including claims for damages, which are asserted by other users or other third parties against gu.cards because of a violation of their rights through the user's utilization of any of the gu.cards services. The user will bear all reasonable costs incurred by gu.cards on the basis of an infringement of third-party rights, including reasonable costs for legal defense. All further rights and claims for damages of gu.cards shall remain unaffected. The user has the right to prove that the actual costs for gu.cards are smaller.

Privacy

gu.cards observes all relevant international legal data protection specifications. The data that you provided is subject to regulations. gu.cards will not disclose the personal data of users in particular to any third party or bring it to the attention of third parties otherwise.

Referral Program / Financing this Website

Running and developing this website costs money. Some interactions with this website bring you to the Gods Unchained website, where you can buy packs of cards of Gods Unchained. If you buy cards after being referred from gu.cards, gu.cards makes money that is spent to further devlope and run this website.

Final provisions

gu.cards reserves the right to modify or amend these terms and conditions at any time. The user will be informed in time about changes in the terms of service. Unless the user objects to the applicability of the new terms of service within three (3) weeks of notification, the amended terms of service shall be deemed accepted by the user. If a treaty provision or a provision in the terms of service should be totally or partly ineffective or become ineffective the validity of the contract or the terms of service shall not affect the rest. The ineffective provision will be replaced by an effective provision whose content in terms of its purpose comes closest to the purpose sought by the respective ineffective clause. This also applies analogously if the above provisions contain an unintentional gap.
